Hi-ROLLERS MOTORCYCLE CLUB

 

CONSTITUTION

 

ARTICLE #1

This club shall be known as the Hi-ROLLERS MOTORCYCLE CLUB. Established to pursue, promote and protect the interest of motorcycling and motorcyclists. To develop better and more enthusiastic relations between the public, the press and fellow motorcyclists. To actively encourage rider participation in any and all positive events. To sponsor and promote organized motorcycling or related activities for the positive aspects of motorcycling and motorcyclists.

 

ARTICLE #2

Full members shall be riders or passengers of motorcycles. Associate members shall be riders or passengers of motorcycles, persons actively concerned with the trade or motorcycle enthusiasts. Only full members of the Hi-ROLLERS MOTORCYCLE CLUB in good standing shall be entitled to make a motion or vote on club affairs. Only full members of the Hi-ROLLERS MOTORCYCLE CLUB and associate members shall be entitled to wear a club insignia.

 

ARTICLE #3

The elective officers of the Hi-ROLLERS MOTORCYCLE CLUB shall be: President, Vice President, Secretary, Treasurer, Referee and three (3) Trustees. These officers shall constitute the EXECUTIVE BOARD. The Road Captain shall be invited to attend all executive board meetings. The club shall have only one (1) Executive Board.

 

ARTICLE #4

The duties of the President Shall be:

  1. To preside at all meetings of the club.
  2. To have general supervision of the affairs of the club.
  3. To appoint any person or committee not otherwise ordered by the club.
  4. To personally represent the club on proper occasions and business contacts.
  5. To assist all other officers of the club in their records, correspondence and other duties.
  6. To promote interest on the part of each member in club life and activities.
  7. To vote only when necessary to break a tie.

 

ARTICLE #5

The duties of the Vice President shall be:

  1. To perform the duties of the President in the event of his or her absence.
  2. To assist the President in the execution of his or her duties.
  3. To be in charge of publicity for all events and functions.

 

ARTICLE #6

The duties of the Secretary shall be:

  1. To keep a record of the minutes of the meetings of the club.
  2. To send out notices of regular or special meetings.
  3. To handle all club correspondence.
  4. To perform such other duties as generally fall to that office.

 

ARTICLE #7

The duties of the Trustees shall be:

  1. To serve on the activities who with the Road Captain as chairman shall have general charge of all tours, runs and club social functions subject to such orders as the club may give.
  2. To quarterly with the Treasurer audit the club financial records.

 

ARTICLE #8

The duties of the Treasurer shall be:

  1. To collect dues from all members.
  2. To collect all other money due the club.
  3. To maintain club financial records and deliver reports on a timely basis.
  4. To maintain and balance the club checking account.
  5. To serve as custodian of all property of the club.

 

ARTICLE #9

The duties of the Referee shall be:

  1. To have general supervision over all sanctioned events promoted by the club.
  2. The responsibilities of the Referee are completely outlined in the A.M.A. rule book and guidelines.

 

ARTICLE #10

The duties of the Executive Board shall be:

  1. To act for the club in all matters ordered by the club.
  2. To follow the guidelines as stated in #10 of the bylaws.
  3. To properly investigate and present to the club all business or important Activity situations.
  4. To have general control over all club affairs.

 

ARTICLE #11

The duties of the Road Captain shall be:

  1. To plan the route for all club tours, runs, rides etc..
  2. To lead the club in formation riding or parades.
  3. To arouse interest in activities.
  4. To assist in the handling of club socials, parties and other functions.
  5. To enforce all rules and safety measures of group riding.
  6. To select assistants to aid in special tasks.

The Road Captain shall be selected by the President and will be presented to the full members no later than the next club meeting following the election of officers.

 

ARTICLE #12

The immediate past President in good standing shall be a member of the Executive Board or the second board of director during his or her tenure as immediate past President.

ARTICLE #13

One charter member in good standing shall be a member of the Executive Board.

ARTICLE #14

All elective officers positions shall be filled at the annual awards banquet (Christmas Party) each year and all officers shall hold office for one (1) year or until their successors are elected and qualified.

ARTICLE #15

The regular meeting of the Hi-ROLLER MOTORCYCLE CLUB shall be held on the first Saturday of each month at twelve noon (12:00). The President or Executive Board may call a special meeting at any time by advance notice. Club meeting dates and times may very during the winter months.

ARTICLE #16

One quarter but no less than six (6) active members in good standing shall constitute a quorum for the transaction of club business.

ARTICLE #17

The Executive Board is empowered to levy annual membership dues. Said dues however are subject to approval of the majority vote of the membership.

ARTICLE #18

The club is organized and at all times shall be operated on a non-profit basis. It shall have no income of profit for itself, but shall hold all funds solely to cover cost of operation, mailing, newsletters and related activities.

ARTICLE #19

In the event of dissolution of the Hi-ROLLERS MOTORCYCLE CLUB all debts shall forthwith be paid in full. Should there be a surplus of funds upon the payment of all outstanding obligations, then such funds shall be given to a non-profit organization of the Executive Boards choosing.

ARTICLE #20

The constitution may be amended or added to, providing the proposed amendment is submitted at a regular meeting. It shall be advertised at two (2) meetings and voted on at the next meeting. A two thirds (2/3) vote of the members in good standing shall be required to pass an amendment.
